Florida Listing Agreement

THIS AGREEMENT is dated between Real Estate Partners LLC. hereinafter known as the Listing Realtor and

2. UNDER THIS AGREEMENT, the Seller can sell his/her property himself/herself, without penalty.  In addition, Seller  can cancel this agreement, prior to signing any sales agreement,  by notifying the Listing Realtor.

3.  LISTING PERIOD:   The Listing Realtor will list the above mentioned property in the Broward, Palm Beach and Dade County Multiple Listing Service and the Internet until . If seller re-list property before the expiration of listing period, seller agrees to use Real Estate Partners, LLC as the referring Broker, for a referral fee, to the Real Estate Brokerage accepted by seller.

4. COMPENSATION: The Seller agrees to pay the Listing Realtor the following;

A) A processing fee of $199 and percent of the purchase price for the above service and;

B) Should a participating Realtor obtain a buyer who is ready, willing and able to purchase the above described property for $ or at a price acceptable to the Seller, then and only then shall the Seller agree to pay that participating Realtor a   sales commission on the agreed sales price of the property and;

C) One of the following:

1) To order and use CMG or CMP Mortgage Services to finance the purchase of their next piece of property. The Seller may chose to use CMG or CMP within the listing period to consummate a mortgage transaction.

*Listmeforfree.com (under the US Department Housing RESPA regulations) is an optional package (offered by Real Estate Partners, llc) offering discounts for the purchase of multiple settlement services. The Discount is a true discount below prices that are generally available; It is not made up by higher costs elsewhere in the settlement process. Seller may chose the listmeforfree.com package or one that does not include Mortgage or Title Services. If the Listmeforfree.com package is not purchased, Seller agrees to pay a 2% listing commission to Listing Realtor based on the sales price of the subject property.

*Listing Broker and any agents of Listing Broker shall be held harmless for Seller's failure to perform any oral or written agreements.

5.  TERMINATION:  Prior to any contract acceptance by seller, there shall be no termination fee in the event the Seller decides to withdraw the property from the market.

6.  PROPERTY ACCESS:   Seller desires to (A) Release the access keys to the Listing Realtor for use in showing the property; (B) Release the keys to the property by installing them in a Lockbox System.

        Seller has been informed that through the use of a Key and/or Lockbox System, the Property may be more readily shown to prospective Buyers, but personal property of the Seller may, therefore, be more susceptible to theft or damage.

        Seller agrees that the Key and/or Lockbox, if utilized, will be for the benefit of Seller and releases LISTING REALTOR and those working by or through LISTING REALTOR and the local Association's) of REALTORS from all liability and responsibility in connection with any loss or damage that may occur.

7.     LATENT DEFECTS:  Seller agrees that where Seller knows of or becomes aware of facts materially affecting the value of the Property, Seller is under a duty to disclose said facts both to the BUYER and to the REALTOR. If Seller knows of or becomes aware of such facts, he/she shall set them forth in writing on the attached Seller DISCLOSURE SHEET.  Seller agrees to indemnify and hold harmless LISTING REALTOR and those relying thereon for damages resulting from the inaccuracy of said information and from Seller's failure to disclose any facts materially affecting the value of the Property.  This duty shall continue through to date of closing.

        SEE ATTACHED Seller DISCLOSURE SHEET OF ITEMS MATERIALLY AFFECTING THE  VALUE OF THE PROPERTY.  THIS DISCLOSURE BECOMES AN INTEGRAL PART OF THE LISTING AGREEMENT AND SHALL BE UPDATED THROUGH TO DATE OF CLOSING.

8.     NO GUARANTEE:  Seller understands that this Agreement does not guarantee the sale of the Property.

9.     FAIR HOUSING ACT:   The Seller agrees to abide by the 1968, 1987 and 1988 Fair Housing Acts and amendments as amended from time to time, under which Seller has the responsibility to sell Seller's property to a qualified Buyer regardless of race, color, religion, sex, handicap, familial status or national origin.

10.   ATTORNEYS' FEES:  That in any proceeding arising out of the Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

11.    TITLE:  Seller warrants having legal authority and capacity to convey the Property with all improvements. If purchaser for the Property is secured, the usual and customary practice for the title examination, curing the title, and for closing the transaction shall apply.  Seller agrees to deliver marketable title at closing.

12.    REPRESENTATION:  Unless Seller and Listing Realtor have entered into a separate representation agreement, Listing Realtor does not represent the Seller as either a Single Agent or as a Transactional Broker.

13.    LEGAL;  This is a legal and binding contract on all parties hereto, including their heirs, legal representatives, successors and assigns.  A) Seller understands that professional fees and contract items are not regulated by law and are subject to negotiation.  B) Seller has fully reviewed this Agreement and the information relative to said property (As shown in the listing information above and/or attached profile and (feature sheet) and Seller warrants, to the best of Seller's knowledge, the accuracy of said information. C) Seller agrees to sell their property in "AS-IS" condition without any representations or warranties. D) Seller agrees to comply with the provisions of the Florida Residential Property Disclosure Act and the Federal Based Lead Paint Disclosure. E) Other Sales associates affiliated with Listing Agent may represent the Buyer of Seller's Property. Seller agrees that if the property is sold through the efforts of another sales associate, the other sales associate will be acting as, and deemed the Buyer's Designated Agent and not representing the Seller. F) If a lawsuit is filed, prevailing party shall be entitled to recover expenses including but not limited to attorney's fees in enforcing or defending any terms of this Agreement. Seller shall indemnify, save and hold harmless Listing Agent and its agents or employees from all claims, disputes, litigations, judgments and costs (including attorney's fees) arising from any misrepresentations or omissions of information made by Seller to Realtor or its agents, incorrect information supplied by Seller, latent or material defects in the Property which would tend to disclose to prospective Buyers, or any dispute between Seller and another party concerning earnest money.

14.  ADVERTISING: Unless deemed illegal by Seller(s) association, Seller(s) agree to display Real Estate Partners Yard Sign exclusively. Seller shall co-operate by allowing such sign to be displayed at all times up until the transfer and closing of title. Seller(s) shall be provided with one Yard Sign which shall be displayed in front yard for the site of traffic or Passer-Byers.

15.  NOTIFICATION: Seller(s) agree to inform Listing agent whenever written offer is accepted by faxing a copy of the agreement within 1 day of signing to listing agents office. The Fax numbers are in plain site of the Seller(s) on this web site.

         *The processing listing fee provided for in this Agreement is the agreed upon compensation fully earned and due and payable in full to Listing Broker or Agent upon the execution of this Agreement by  Seller and Listing Broker or Agent, and in any event, not later than upon the listing of the aforesaid property in the Multiple Listing Service, and said fee does not constitute an advance fee, commission or deposit or an advance escrow or trust fund.
